Terms of Service

These Terms of Service ("Terms") form an agreement between you and AppSyntax ("we", "us") governing your use of the FoundUps iOS application (the "App") and foundups.vercel.app (the "Site"). By creating an account or using the App, you agree to these Terms. If you do not agree, do not use the App.

1. Eligibility

You must be at least 18 years old to use FoundUps. By creating an account you represent that you meet this age requirement and that the information you provide is accurate.

2. Your account

You are responsible for keeping your account credentials secure and for all activity under your account. Notify us immediately if you suspect unauthorised access. We may suspend or terminate accounts that violate these Terms or harm other users.

3. What FoundUps is and is not

FoundUps is a communication and matchmaking tool. It helps founders and investors discover one another and start a conversation. FoundUps is not a broker, placement agent, investment adviser, or legal representative. We do not participate in, guarantee, or facilitate the terms of any investment or transaction that may result from matches made on the App.

Any investment, commitment, agreement, or transaction between users is strictly between those users. You are solely responsible for conducting your own due diligence and complying with all applicable laws in your jurisdiction, including securities laws.

4. Your content

You retain ownership of the profile information, startup details, pitch decks, messages, and other content you submit ("User Content"). By submitting User Content to FoundUps, you grant us a worldwide, non-exclusive, royalty-free licence to store, process, transmit, and display the User Content for the sole purpose of operating the App for you and the users you connect with.

You represent that you own or have the right to share your User Content, that it does not violate any law or third-party rights, and that it is accurate. You are responsible for the confidentiality implications of sharing any pitch deck or business information through the App.

5. Acceptable use

You agree not to:

• Misrepresent your identity, role, affiliation, or credentials
• Use the App to harass, defraud, spam, or harm another user
• Upload malware, scrape data, or otherwise attempt to compromise the service
• Use automated systems or bots to interact with the App
• Post content that infringes intellectual property or is unlawful, abusive, or misleading
• Circumvent our matching rules (for example, by creating duplicate accounts)
• Use the App to offer or promote unregistered securities in violation of applicable law

We may remove content and suspend or terminate accounts that violate this section at our sole discretion.

6. Messages and conversations

Messages you send on the App are visible to the other matched user. Treat the content of those conversations with the same care as any other communication. We do not routinely read private messages, but we may access them to respond to support requests, investigate violations, or comply with law.

7. Fees

Core matchmaking and chat are free. If we introduce paid features in the future, the price, terms, and cancellation rules will be disclosed in the App before you subscribe. Purchases made through the App are processed by Apple and are subject to Apple's terms.

8. Intellectual property

The FoundUps name, logo, Site, App, and all associated software and content (excluding User Content) are owned by AppSyntax and are protected by intellectual property laws. You may not copy, modify, redistribute, or reverse engineer any part of the App or Site, except where permitted by law.

9. Termination

You may delete your account at any time from the Profile tab. We may suspend or terminate your account without notice if you violate these Terms, if required by law, or if we discontinue the service. On termination, your access ends and we will delete your data in accordance with our Privacy Policy.

10. Disclaimers

The App and Site are provided "as is" and "as available" without warranties of any kind. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the service will be uninterrupted or error-free.

11. Limitation of liability

To the maximum extent permitted by law, AppSyntax and its principals will not be liable for any indirect, incidental, consequential, special, or exemplary damages, or for any loss of profits, revenues, data, or goodwill, arising from or related to your use of the App, the Site, or any investment, transaction, or interaction resulting from their use. Our total aggregate liability for any claim is limited to the greater of (a) the amount you paid us in the twelve months preceding the claim or (b) one hundred Australian dollars (AU$100).

12. Indemnity

You agree to indemnify and hold AppSyntax harmless from any claim, loss, or expense (including reasonable legal fees) arising from your User Content, your use of the App, your interactions with other users, or your violation of these Terms.

13. Apple-specific terms

These Terms are an agreement between you and AppSyntax, not Apple. Apple is not responsible for the App or its content. Apple has no obligation to provide support for the App. In the event of a product warranty failure, you may notify Apple and Apple will refund the purchase price; beyond that, Apple has no other warranty obligation. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You represent that you are not in a country under U.S. embargo and are not on any U.S. Government list of prohibited parties.

14. Governing law

These Terms are governed by the laws of New South Wales, Australia, without regard to conflict-of-laws rules. You and AppSyntax submit to the exclusive jurisdiction of the courts of New South Wales for any disputes that cannot be resolved informally.

15. Changes

We may update these Terms as the App evolves. If changes are material, we will notify you in the App or by email. Continued use of the App after the changes take effect means you accept them.
